Outsourced general counsel

The judgment of a public-company general counsel, on call for your business — without the cost of a full-time hire or the hourly meter of a large firm.

A legal department of one, with 30 years behind it

Since 2001, Alliance Legal Partners, based in Newport Coast in Orange County, has served as outsourced general counsel to companies in technology, software, AI, e-commerce, consumer products, real estate, hospitality and gaming. Clients range from founder-led startups to multimillion-dollar revenue businesses and private equity portfolio companies.

Jeffrey has done this job from the inside. As general counsel of two Nasdaq-listed companies and sole in-house counsel for a ten-entity group, he built and ran the legal function, managed outside counsel and spending, and handled governance, financings, commercial agreements, employment and disputes.

You get a single point of accountability. When a matter needs a specialist — tax, litigation, regulatory — we bring the right counsel in and manage their engagement and cost.

Built for how a business actually runs

Jeffrey is a founder and operator of hospitality and software companies, so we understand the decisions owners face every week. We use AI and code to turn recurring needs into working tools — contract templates, intake and approval procedures, playbooks — so routine work costs less and gets done faster.

“Jeff has served as my outside general counsel in my last two Web 3.0 companies, the first of which he represented in multiple Reg A+ offerings and in its sale to the NFL. His excellent legal skills combined with his business acumen has made him a crucial member of my management teams.”

Common questions

What does an outsourced general counsel do?

An outsourced general counsel handles the legal work an in-house general counsel would: entity formation and governance, commercial contracts, equity and employment matters, licensing, and restructuring. We also manage any outside specialists you need and keep that spend under control, without the cost of a full-time hire.

When does a company need a general counsel?

Usually when legal questions stop being occasional: regular contracts with customers and vendors, equity grants to employees, investors or a board to answer to, or a financing or sale on the horizon. That is often well before a business can justify a full-time in-house lawyer.

How is outsourced general counsel work billed?

We agree the arrangement with each client up front, based on the business and the work it expects. Tell us about your company and we'll suggest a structure that fits it.

Do you handle litigation?

When a matter needs a litigator or another specialist, such as tax or regulatory counsel, we bring in the right lawyer and manage their engagement and cost, so you still have one point of accountability.
